Agreement on Service Provision and Software Support

1. Parties

This Agreement is made between Central Node LLC, represented by its Director A. Ispiryan, hereinafter referred to as the "Contractor", and the customer, represented by its authorized director, hereinafter referred to as the "Customer". The Contractor and Customer are collectively referred to as the "Parties", for the purposes set forth below.

2. Subject of the Agreement

• The Contractor provides the Customer with the Central Node software system as a rental-based service.
• The software is intended to automate, monitor, and optimize the Customer's business operations.

3. Scope of Services

The Contractor undertakes to provide the following services:

• Software access in a web and/or application environment.
• Technical maintenance, updates, and feature enhancements as required by law and Contractor decisions.
• Data storage and protection on Contractor servers.
• Support through the call center.
• Full and unrestricted access for the Customer to its own data.

4. Payments and Procedures

• The monthly service price is determined by mutual agreement of the Parties and equals AMD 10,000 (ten thousand Armenian drams).
• Payment is made in advance, before the start of the relevant billing period.
• If payment is not made, the software is automatically blocked until payment is confirmed.
• Payments are made by bank transfer based on the invoice issued by the Contractor.
• The software is provided free of charge for 14 days. After that period, the Customer must pay the monthly fee specified in Clause 4.1.
• Service fees change if a new service point (outlet) is added. Payment is charged for each outlet active in the system before the start of the reporting month.
• For each additional service point (outlet) added by the Customer, an additional amount equal to the base monthly fee in Clause 4.1 is charged. The cost of additional services remains fixed and does not depend on the number of outlets.

5. Software Licensing and Data Access

• The software remains the property of the Contractor. The Customer receives only the right to use the software during the term of this Agreement.
• The Customer has full and unrestricted access to its own data.
• The software, or any part of it, may not be transferred to any third party during the Agreement or after its termination.

6. Confidentiality and Data Protection

• All Customer data is considered strictly confidential and may not be disclosed to third parties.
• The Contractor must apply the necessary technical and organizational measures to protect Customer data.
• No third party may access Customer data without the Customer's written consent.
• The Customer must keep confidential all software solutions provided by the Contractor and must not disclose them to competing organizations without the Contractor's knowledge.

7. Term and Termination

• This Agreement enters into force on the date of signing and remains valid for an unlimited period, unless either Party requests termination by giving at least 5 business days' prior notice.
• The Contractor has the right to suspend service if contractual obligations are not fulfilled.
• Disputes and disagreements are resolved through negotiations. If resolution is not possible, disputes are subject to review by the competent courts under the laws of the Republic of Armenia.
• In case of suspension, the Customer remains obligated to settle the payment obligations specified in Clause 4.1.

8. Amendments

The Contractor may amend this Agreement by notifying the Customer in advance by email or in-software notifications.

9. Final Provisions

This Agreement is drafted in Armenian in two copies, one for each Party, and each copy has equal legal force.
